Reselling Droi Pharma Products on the Internet

Minimum Advertised Product (MAP) Policy

The Minimum Advertised Price is the price that is designated for each product in Droi Pharma's current Retail Price List. The Minimum Advertised Price for each product is unilaterally set by Droi Pharma and this price is not subject to negotiation.

The MAP policy applies to every customer who resells Droi Pharma products online, including those customers who own, operate, or manage clinics and pharmacies, as well as online storefronts.

The MAP Policy prohibits volume discounting or any other promotion that would cause the unit price of a product to be advertised at less than the designated Retail Price for that product.

The MAP policy applies to the advertised price of a Droi Pharma product in any and all media, including, but not limited to: the Internet, flyers, posters, coupons, emails, inserts, newspapers, magazines, catalogs, mail order catalogs, and television.

Droi Pharma reserves the right to not sell its products to any customer who is affiliated with a website that violates the MAP policy. A violation of the MAP policy is grounds for suspension or termination of a customer's account.

If a practitioner is not complying with the MAP policy, then a representative of Droi Pharma will notify the practitioner via telephone or email of the violation. The practitioner's account can be placed on hold until the pricing has come into compliance. If a practitioner repeats a violation of the MAP policy, then Droi Pharma reserves the right to revoke the practitioner's wholesale purchasing privileges and, without notice, take any additional action it deems necessary against the practitioner who is violating the policy.

The MAP policy does not apply to advertising that comes directly from the practitioner's office to the practitioner's patient base.

Use of Droi Pharma Trademarks Online
Images and likenesses of Droi Pharma's trademarks and trade dress (including pictures of bottles bearing Droi Pharma labeling) and copyrighted product descriptions can be downloaded from Droi Pharma websites by professional customers who have opened a Droi Pharma customer account.

A customer does not have the right to affix any Droi Pharma trademark to any product or other material that is not a Droi Pharma nutritional supplement product.

A customer agrees to use the trademark symbols "™" or "®" as appropriate, when displaying Droi Pharma's trademarked names or products, as an attribution of Droi Pharma's ownership of its trademarks. The use of a Droi Pharma trademark does not give a customer any ownership right, title, or interest, express or implied, in the trademark.

A customer's use of Droi Pharma's trademarks should be accompanied by a statement that substantially states the following: "Droi Pharma trademarks are used with permission."

A customer should not use Droi Pharma's trademarks except in the form, context, and location that is acceptable to Droi Pharma. Droi Pharma will periodically review customer websites and reserves the right to demand that a customer make changes to its website regarding the use of intellectual property owned or controlled by Droi Pharma, even if Droi Pharma has previously approved or accepted the customer's website or the material displayed thereon.

A customer must not use any Droi Pharma product name or trademark as part of a URL (Universal Resource Locator), secondary level domain name, metatag, key word, or file name.

Disease Claims

To protect customers and Droi Pharma from legal liability due to the regulatory requirements of the U.S. Food and Drug Administration and the U.S. Federal Trade Commission regarding disease claims associated with nutritional supplement products, Droi Pharma products cannot be displayed or mentioned within two clicks of any disease claim.

Droi Pharma will periodically review a customer's website and reserves the right to demand a customer make changes to its website regarding any disease claim regarding a Droi Pharma product, even if Droi Pharma has previously approved or accepted the customer's website or the material displayed thereon.

Droi Pharma reserves the right to demand a customer make changes to its website to the extent a customer is making statements about Droi Pharma products in any manner that would violate regulations implemented by the U.S. Food and Drug Administration, the U.S. Federal Trade Commission, or the regulations implemented by any other federal or state agency.

Droi Pharma Logo
The Droi Pharma logo can only be used in the form supplied by Droi Pharma for use online. Neither the file name nor the name of the image can be changed or modified from the original form supplied by Droi Pharma. The Droi Pharma logo may be accompanied by a statement indicating "I (We) proudly offer [insert Droi Pharma logo] products." No other statements may be affiliated with use of the Droi Pharma logo.

Violations of Policy

A customer who violates Droi Pharma's Internet policy will receive a written notice from Droi Pharma that the customer is in violation of the policy. If the customer does not come into compliance with the policy, then the customer will no longer be able to purchase Droi Pharma products.

A customer who corrects their website to bring it into compliance with this policy should promptly notify Droi Pharma. Droi Pharma will review the website and if Droi Pharma determines the website is in compliance with this policy, then the customer's account will be reactivated.

Droi Pharma has adopted a zero-tolerance approach to this policy. Customers acknowledge that upon any subsequent breach of any provision of this policy, Droi Pharma may terminate the customer's account without notice.

Miscellaneous
Droi Pharma may, in its sole discretion, revise its Internet policy at any time.

Any failure or delay by Droi Pharma in enforcing any provision of its Internet policy will not be considered a waiver of such provision and will not prevent Droi Pharma from enforcing the provision at a later date.

Except where otherwise indicated, all materials presented on Droi Pharma's website are the copyrighted property of Droi Pharma, Inc.

The Droi Pharma logo and the names of various products offered by Droi Pharma are trademarks of Droi Pharma, Inc.

Any dispute concerning a Droi Pharma website is subject to the venue of a court of competent jurisdiction in Bonner County, Idaho.

Should any provision of these Terms and Conditions of Use be held invalid, unlawful, or unenforceable, then the invalid, unlawful, or unenforceable provision will be severed from the remaining provisions, and such invalid, unlawful, or unenforceable provision will not affect the validity or enforceability of the remaining provisions.
